Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zealifi RTO Management Platform ("Service") operated by Australian Consulting & Training Solutions Pty Ltd (ABN 123 456 789) ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

• Platform means the Zealifi web application accessible at rto.zealifi.au.com and related services.
• Subscriber means the organisation or individual who registers for an account and accepts these Terms.
• Users means the Subscriber and any authorised individuals the Subscriber grants access to under their account.
• Student Data means personal information relating to students that is entered into the Platform by the Subscriber.
• Subscription means the paid or trial access plan selected by the Subscriber.

2. Account Registration and Eligibility

To use the Service you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share passwords with unauthorised persons.
• Promptly notify us of any unauthorised access to your account.
• Be responsible for all activity that occurs under your account.

You must be at least 18 years old and have the authority to bind your organisation to these Terms. The Service is intended for use by registered training organisations and educational providers operating in Australia.

3. Subscriptions and Billing

The Service is offered on a subscription basis. By selecting a paid plan, you authorise us to charge your nominated payment method on a recurring monthly basis.

• Free Trial. New accounts receive a 14-day free trial with full access to the selected plan features. No credit card is required to begin your trial.
• Billing. After the trial period, continued use requires a valid payment method. Subscription fees are charged monthly in advance.
• Plan Changes. You may upgrade or downgrade your plan at any time. Changes take effect immediately and are billed pro-rata.
• Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a billing period.
• Non-payment. If a payment fails and is not resolved within 14 days, we may suspend or terminate your account.

All prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be added where applicable.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable Australian or international laws or regulations.
• Upload or transmit any content that is unlawful, defamatory, fraudulent, or infringes third-party rights.
• Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure.
• Use the Service to process data of students who have not consented to such processing.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell or sub-licence the Service without our written consent.
• Use automated means (scrapers, bots) to access or extract data from the Service.
• Transmit malware, viruses, or other harmful code.

We reserve the right to suspend or terminate accounts that breach these restrictions without notice.

5. Data Handling and Privacy

Your use of the Service involves the collection and processing of personal information. Our Privacy Policy describes how we collect, use, and protect that information and forms part of these Terms.

With respect to Student Data:

• You retain ownership of all Student Data you enter into the Platform.
• You are responsible for ensuring you have appropriate authority and consents to enter Student Data into the Platform.
• We act as a data processor in relation to Student Data and process it only in accordance with your instructions and our Privacy Policy.
• We implement reasonable technical and organisational measures to protect Student Data from unauthorised access or disclosure.

6. Intellectual Property

The Service, including all software, design, text, and graphics, is owned by or licensed to Australian Consulting & Training Solutions Pty Ltd. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use it as set out here.

You grant us a limited, non-exclusive licence to use your data solely to provide and improve the Service. We do not claim ownership of your data.

7. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Twilio (SMS), Amazon Web Services (document storage), and Supabase (database infrastructure). Your use of features that involve these providers is also subject to their respective terms and privacy policies. We are not responsible for the actions or omissions of third-party providers.

8. Service Availability and Support

We aim to provide a reliable service but do not guarantee uninterrupted or error-free access. We may perform scheduled or emergency maintenance which may temporarily interrupt access.

Support is provided by email at info@zealifi.au.com. Enterprise plan subscribers receive priority support and service level commitments as agreed separately.

9. Limitation of Liability

To the maximum extent permitted by law (including the Australian Consumer Law):

• The Service is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service.
• Our total aggregate liability to you in respect of any claim arising from these Terms or your use of the Service is limited to the amount you paid us in the three months preceding the claim.

Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under the Australian Consumer Law or other applicable legislation.

10. Termination

Either party may terminate these Terms at any time:

• By you: Cancel your subscription through your account settings or by contacting us.
• By us: We may terminate or suspend your account immediately if you breach these Terms, fail to pay, or if we reasonably believe continued access poses a risk to other users or the platform.

Upon termination, your right to access the Service ceases immediately. You may request an export of your data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policy.

11. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

12. Governing Law

These Terms are governed by the laws of Queensland, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Queensland for the resolution of any disputes arising from these Terms or your use of the Service.
